What is a Trade / Share Sale?

A share sale tends to be the most common exit. It is the sale of the entire share capital of the company. This can be to a trade buyer, management team or employee trust.

It normally involves the disposal of a business' shares or assets and even liabilities, in whole or in part. This transaction could be made with a strategic buyer who intends to grow their own business or to a financial buyer who intends to create a financial return on their invested capital.

Key Considerations

Once a share sale is complete, the buyer assumes responsibility for the whole company and in general, a share sale is a more attractive option from a tax perspective for a seller, compared to an enquirer.

The acquiring party may also expect the seller to give warranties or guarantees as protection against unknown liabilities. Conducting reverse due diligence provides an opportunity to strengthen the business ahead of the transaction, pre-empting and rectifying any issues a buyer may view as a risk.
