Total Staffing Solutions Completes Strategic EOT-Linked Funding Facility

Total Staffing Solutions Ltd. (TSS) has secured a funding facility to support the acceleration of its Employee Ownership Trust (EOT) consideration, following sustained business growth. The transaction was supported by GS Verde Group and SME Bank.

The business, which transitioned to employee ownership in 2023, has since experienced positive performance that enabled it to bring forward a portion of the deferred EOT consideration. The new facility, agreed with existing lender SME Bank, refinanced the outstanding balance of the previous loan and provided capital to support the early settlement of EOT-linked payments.

Founded by former healthcare professionals, TSS has grown to become a leading provider of healthcare and social care staffing solutions across the UK, including live-in care, dementia support, and community-based home services. The company’s employee ownership model has further strengthened its people-focused values and long-term outlook.

Chris Jones, Financial Director of Total Staffing Solutions, said: “Becoming employee-owned was a significant step in recognising the contribution of our team and securing the values we’ve built the business on. This new facility allows us to continue delivering on that promise, strengthening our position, maintaining momentum, and focusing on our future together.”

Employee Ownership Trusts are an increasingly popular route for succession planning, enabling businesses to protect culture, reward teams, and ensure long-term continuity. Total Staffing Solutions' latest milestone demonstrates how strong performance, and strategic funding can unlock the full benefits of employee ownership.

Mr Jones added, “The GS Verde team have been instrumental throughout, from our original EOT transition through to this most recent funding support. Their guidance across financial and legal elements ensured a smooth process, and we’re grateful for their continued partnership.”

GS Verde Group advised across all elements of the transaction, providing integrated support across financial modelling, legal documentation, and deal structuring. The Group had previously supported TSS in its original EOT transition, and its continued involvement reflects GS Verde’s long-term commitment to employee ownership-led growth strategies.
